About Company

Blue Dolphin Energy Company (OTCQX:BDCO) is primarily an independent refiner and marketer of petroleum products. Our primary asset is a 15,000 barrel per day (bpd) crude oil and condensate processing facility that is located in Nixon, Wilson County, Texas (the “Nixon Facility”). As part of our refinery business segment, we also conduct petroleum storage and terminaling operations under third-party lease agreements at the Nixon Facility. We also own and operate pipeline assets and have leasehold interests in oil and gas properties.

Code of Conduct
 
All directors, officers and employees of Blue Dolphin must act ethically at all times and in accordance with the Code of Conduct policy adopted by Blue Dolphin's Board of Directors. Employees are required to certify that they comply with the Code of Conduct policy on a periodic basis.
 
The Audit Committee has established procedures to enable anyone who has a concern about Blue Dolphin's conduct or policies, or any employee who has a concern about Blue Dolphin's accounting, internal accounting controls or auditing matters, to communicate that concern directly to the Chairman of the Audit Committee. Blue Dolphin's Code of Conduct policy prohibits any employee from retaliating or taking any adverse action against anyone for raising or helping to solve an integrity concern. Violations and/or concerns may be sent anonymously to Mr. Haag Sherman, Audit Committee Chairman.

The Board of Directors adopted a Code of Ethics that is applicable to the principal executive officer, principal financial officer, principal accounting officer or controller, or persons performing similar functions. The Code of Ethics is reviewed by the Board of Directors annually and persons acting in principal accounting functions are required to certify that they comply with the Code of Ethics on an annual basis.
 
Blue Dolphin Energy Company operates as an independent refiner and marketer of petroleum products. The company engages in refining crude oil into marketable finished and refined products, such as non-road, locomotive, and marine diesel fuel, as well as naphtha, distillates, and atmospheric gas oil; and conducts petroleum storage and terminaling operations under third party lease agreements at the Nixon facility. It also provides pipeline transportation services comprising gathering and transporting oil and natural gas for producers/shippers operating offshore in the U.S. Gulf of Mexico. In addition, Blue Dolphin Energy Company engages in the oil and gas exploration and production activities. It holds leasehold interests in the High Island Block 115 located to the southeast of Bolivar Peninsula, Galveston Area Block 321 located to the southeast of Galveston, and High Island Block 37 located to the south of Sabine Pass in the U.S. Gulf of Mexico. The company is headquartered in Houston, Texas. Blue Dolphin Energy Company is a subsidiary of Lazarus Energy Services, LLC.
